Standalone feasibility audit

Eight person-days at TJM 500 € HT/day. Deliverable: feasibility report covering all five axes — IP prior art, preliminary charter, business study, legal audit, App Store plan. No V0 commitment.
If V0 is signed within 90 days following report delivery, the 4 000 € is fully deducted from the V0 forfait. If V0 is not signed, the report remains the Creator's full intellectual property.

Mechanism
Production flat fee in three milestones (30/30/40), then 13 per cent editorial royalty on App Store distribution, the creator retaining 87 per cent. No dedicated company. Distribution under the House’s sole App Store Connect account.

Duration of commercial exploitation plus five years after withdrawal, in conformity with Article 1210 of the French Civil Code.

Mechanism
Dedicated SAS per work, co-founded with the creator. The House takes a 13 per cent capital stake by cash contribution (industry contribution being prohibited in an SAS, art. 1843-2 al. 2 of the Civil Code). The creator retains the majority. Full shareholders’ agreement (pre-emption, drag-along, tag-along, anti-dilution).

Migration between tiers
A creator may begin in the EDITOR tier and migrate to EDITOR+ or STUDIO should the project so justify. The rule: never sell a higher tier to a project that does not need it, and never undersell a lower tier to a project that justifies it.
